What is the purpose of this Communication Facility Protocol?

As a CSF intermediary, Birchal must provide a communication facility for a crowd-sourced funding (CSF) offer while the CSF offer is open or suspended. 

Birchal encourages participants to use the communication facility to communicate, make posts and ask questions about a CSF offer. In order to maintain a respectful and constructive environment for all participants, Birchal has established this protocol to govern the use of the communication facility (Protocol).

Protocol

  1. Purpose of the communication facility

The purpose of the communication facility is to allow potential investors, the company making the CSF offer (Issuer) and Birchal (together, participants) to communicate with each other about the CSF offer.

Birchal encourages participants to use the communication facility to communicate, make posts and ask questions about a CSF offer. 

  1. On topic

All posts on the communication facility must be made in good faith and must be relevant to the CSF offer. 

The communication facility is provided solely for the purpose of seeing and making posts relating to the CSF offer and asking questions of the Issuer or Birchal that are related to the CSF Offer. 

Participants must not make any posts that may be considered by Birchal to be  misleading, deceptive, unlawful, abusive, irrelevant, profane, harassment, threatening, trolling, defamatory, libellous, intimidating, disrespectful, inappropriate, repetitive, spam or posts made in bad faith or which may discourage or derail a good faith discussion about the CSF offer. 

  1. Respect and courtesy

Participants must engage in discussion with respect and courtesy. Any form of harassment or personal attack will not be tolerated. 

Birchal has a zero-tolerance policy for hate speech or discrimination based on race, ethnicity, religion, gender, sexual orientation, age, ability or any other protected characteristic. 

  1. Issuer must identify themselves

Participants who are officers, employees or agents of the Issuer (or a related party or associate) must clearly identify themselves and disclose that fact when posting on the communication facility. 

  1. Birchal must identify themselves

Participants who are officers, employees or agents of Birchal (or a related party or associate) must clearly identify themselves and disclose that fact when posting on the communication facility. 

  1. No anonymous posts

Participants must not post anonymously or under a pseudonym. All participants may be required to verify their identity before making a post on the communication facility.

  1. Removal of posts by Birchal

Posts (or parts of posts) which do not comply with this Protocol, Birchal’s Terms of Service, Investor Terms & Conditions or the law may be removed at the discretion of Birchal without notice. Use of the communication facility may also be restricted at the discretion of Birchal without notice.

Birchal may not remove a post (or part of a post) or prevent a participant from using the communication facility where it is unlawful for Birchal to do so.

Where a post is negative or critical toward the CSF offer, the Issuer or Birchal, that alone may not be a sufficient reason for Birchal to remove the post or participant.

Participants may report any concerns or non-compliance of this Protocol to Birchal by email to support@birchal.com.

  1. Compliance with Birchal’s terms

By participating in the communication facility, all participants agree to the terms of this Protocol, Birchal’s Terms of Service and Investor Terms & Conditions (as applicable).
